Moreover, The Prep Talks, LLC is not liable for, and does not necessarily support the goods or services provided directly by third-party websites or resources. In the event that You decided to engage with the third parties, which You interfaced with through our Services, the third party’s terms will govern their relationship with You. The Prep Talks, LLC is not responsible or liable for such third parties’ terms or actions.

All disputes arising out of or related to these terms must be resolved in King County, Washington in accordance with the Dispute Resolution and Binding Arbitration procedures set forth in Section 17.

17. DISPUTE RESOLUTION AND BINDING ARBITRATION

In the event that You are not happy with our Services, please first contact us immediately, so we can work to rectify the situation together. If You and The Prep Talks, LLC cannot find a resolution to a dispute or potential claim by means of good-faith negotiation, then You explicitly agree to make a reasonable attempt to resolve any such dispute through Alternative Dispute Resolution or Mediation before pursing a legal claim. In the event that You decide to pursue a claim against The Prep Talks, LLC You agree to arbitration pursuant to the terms in this Section 13.

(a) YOU AND THE PREP TALKS, LLC ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM]. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF PRODUCTS OR SERVICES THROUGH THE SITE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the Agreement is void, voidable or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction.

(c)             You agree to an arbitration on an individual basis. In any dispute, NEITHER YOU NOR THE PREP TALKS, LLC WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR IN ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced.

You agree at all times to indemnify and hold harmless The Prep Talks, our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of Your breach of these Terms of Service or the documents they incorporate by reference, or Your violation of any law or the rights of a third-party.

19. NON-DISPARAGEMENT

If You are found to be slandering, libeling or otherwise disparaging The Prep Talks, LLC, Services, Platforms, or related materials at our discretion, You will be immediately removed from the Services, Platforms, and any related communications. We reserve the right to file a civil claim of action against You for any such damaging actions You take that materially harm our The Prep Talks, LLC and/or employees..

20. ACCEPTANCE OF ALL TERMS

By engaging and utilizing our Services, irrespective of the technological device which allows You to use our Services, You agree to be bound by (i) these Terms, which we may alter and update from time to time and (ii) our Privacy Policy. Please ensure You have read all policies in their entirety before purchasing Services or engaging with Platforms. 

21. AGREEMENT

The entirety of Your agreement with The Prep Talks, LLC concerning Your use of our Services and Platforms is encompassed by these Terms, the Privacy Policy, and any Additional Terms Upon Purchase, all of which supersede any prior agreements or representations between us, oral or written. If it is determined that any clause or provision of these Terms is unenforceable for being either illegal or invalid, the remainder of the Terms shall continue in full force and effect. In the event that The Prep Talks, LLC shall fail to implement or enforce any right or provision of these Terms, such a failure shall not constitute a waiver of such right or provision. By using our Services, You give Your consent to the fact that Your account is non-transferable and all of Your rights to Your account and its content immediately end upon Your death, unless otherwise provided by law. You may not transfer or assign any rights and licenses granted hereunder. We may, however, at our discretion assign these rights as we see fit and restriction. By using our Services, You agree that no agency, partnership, joint venture, fiduciary or other special relationship or employment is created as a result of these Terms, and You may not make any representations on behalf of or bind The Prep Talks, LLC in any capacity.
